What Impunent Capital is not

It is not a fund.There is no vehicle that pools capital on a permanent basis and there is no common portfolio. Each transaction is independent of the others.

It is not registered with the CMVM.Realchain, S.A. is not a financial intermediary, is not a management company and does not carry on any activity subject to registration or authorisation with the Portuguese Securities Market Commission (Comissão do Mercado de Valores Mobiliários).

It does not manage third-party portfolios.We do not provide discretionary portfolio management services or investment advice services.

It does not address offers to the public.Any communication relating to specific transactions is addressed solely to professional investors (investidores profissionais) qualified in advance, under article 317-B of the Portuguese Securities Code (Código dos Valores Mobiliários).

It does not provide tax or legal advice.Each participant must obtain their own independent advice.

What we do

We invest our own capital, and capital of professional investors, in transactions identified case by case.

We work across three verticals: real estate, company acquisition and going-concern transfer (trespasse), and minority holdings in companies at an early stage. Each transaction is studied, structured and monitored individually.

Each transaction is structured within a separate company, with its own accounts and its own perimeter of liability. No transaction answers for the obligations of another.

When we take part in a transaction, we take part with our own capital alongside the capital of the co-investors. Policy to be confirmed before publication.

Management

Names, roles and professional background of the members of the management body (Direção) to be confirmed by documentation.

Governance

Investment decisions are taken in committee. Composition and quorum to be confirmed by documentation.

Each transaction receives its own internal reference and a complete documentary file, kept for the applicable statutory period.

Requests for investor qualification are reviewed individually by a member of the management body. There is no automatic approval.
